("Everrenew") or one of its affiliates, has a current service contract ("SUPPLIER or CUSTOMER") and the employees of the SUPPLIER or CUSTOMER authorized ("Users").

         Everrenew is the sole and exclusive owner of all rights of industrial and intellectual property and of other similar rights on the Websites as well as the contents placed on it, meaning those without limitation, any trade names, trademarks, service marks, graphics, logos, domain names, know-how, programming including source code and object code, text, graphics, pictures or data bases that can be found on the Site and are properly protected by the rules on intellectual property. However, when expressly referred, rights of intellectual property over such contents may belong to third parties.

The SUPPLIER or CUSTOMER knows and expressly accepts that:

• The content of the Portal is confidential and its access is restricted to the SUPPLIER or CUSTOMER and its authorized employees.
  
  
• The SUPPLIER or CLIENT will be responsible for only accessing its authorized employees, expressly exempting Everrenew from liability for any damages, losses, damages, claims or expenses incurred by the SUPPLIER or CUSTOMER due to the use of the Portal by any person outside the SUPPLIER or CUSTOMER or its employees.
  
  
• The access data that have been provided to access the Websites are personal and non-transferable and must keep them in the absolute reserve and confidentiality.
  
  
• In the event that, for any reason, the user's employment relationship with the SUPPLIER or CUSTOMER terminates, the SUPPLIER or CUSTOMER shall notify Everrenew of such circumstance within 3 business days prior to the termination of the employment relationship, so that Everrenew remove the User credentials of access
  
  
• Any reproduction, distribution, commercialization or transformation not authorized by Everrenew of the contents accessed through these Websites constitutes a violation of the intellectual and industrial property rights protected by the Law.

Right

Everrenew reserves the right to terminate the Users of the SUPPLIER or CUSTOMER or limit their access to certain areas of the Websites in any of the following circumstances:

• At the moment in which the SUPPLIER or CLIENT does not have service contracts with Everrenew or its subsidiaries;
  
  
• Upon termination of the provision of services contracted between the Parties.
  
  
• In case of detecting illegal or unauthorized uses of the resources made available to the Users of the Websites
